The legal agreement between you and MyRxWallet governing your use of our health information technology platform and services.

Please Read Carefully

These Terms of Service ("Terms") constitute a legally binding agreement between you and MyRxWallet North America Corporation. By creating an account or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Section 01
Acceptance of Terms

By accessing, registering for, or using the MyRxWallet platform, website, APIs, mobile applications, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our HIPAA Notice of Privacy Practices, and any additional terms applicable to specific services.

These Terms apply to all users of the Platform, including patients, healthcare providers, developers accessing our APIs, and any other individuals or entities accessing the Platform.

We reserve the right to update these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use of the Platform after the effective date of changes constitutes acceptance.

Section 02
Description of Services

MyRxWallet provides a patient-owned health information technology platform that includes:

    Electronic Health Record (EHR) Platform: ONC (g)(10) standardized API-tested EHR with FHIR R4 interoperability, SMART on FHIR authorization, and USCDI data element support.
  • โ†’
    Patient Portal: Secure access to personal health records, prescriptions, lab results, appointments, and care team communications.
  • โ†’
    Provider Portal: Clinical tools for credentialed healthcare providers with NPI/OIG-verified access.
  • โ†’
    Blockchain Identity Layer: MyRx-Chain (Hyperledger Fabric) anchoring consent events and audit trails without storing PHI on-chain.
  • โ†’
    MyRx Credential: A soulbound health identity credential issued at enrollment โ€” non-transferable, non-monetary, controlling platform access.
  • โ†’
    Developer API: FHIR R4, SMART on FHIR, and proprietary APIs for third-party application development under a separate API License Agreement.
  • โ†’
    Health Intelligence Services: AI-assisted clinical reference tools, drug interaction checks, prior authorization processing, and health monitoring โ€” subject to applicable disclaimers.
Not a Medical Provider

MyRxWallet is a health information technology platform, not a licensed healthcare provider, hospital, clinic, pharmacy, or insurance company. We do not provide medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional for medical decisions.

Section 03
Eligibility

To use the Platform, you must:

    Be at least 18 years of age, or 13โ€“17 with verified parental or legal guardian consent.
  • โ†’
    Have the legal capacity to enter into a binding agreement.
  • โ†’
    Not be prohibited from using the Platform under applicable law.
  • โ†’
    For Healthcare Providers: Hold a valid, unencumbered National Provider Identifier (NPI) and not appear on the OIG List of Excluded Individuals/Entities (LEIE).

We reserve the right to verify eligibility at any time and to deny or terminate access for users who do not meet these requirements.

Section 04
Account Registration & Security

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials.

Multi-Factor Authentication

For your security and compliance with applicable regulations, the Platform requires multi-factor authentication (MFA) including email verification, SMS phone code verification, and device-based authentication. You agree to maintain a valid, accessible phone number and email address associated with your account.

Account Security

You are responsible for all activity that occurs under your account. You agree to immediately notify us at info@myrxwallet.io of any unauthorized use of your account or any other security breach. We are not liable for any loss resulting from unauthorized use of your account due to your failure to maintain the security of your credentials.

Section 05
Patient Data Rights

As a patient user, you retain the following rights regarding your health data on the Platform:

    Ownership: You own your health data. MyRxWallet acts as a custodian and conduit โ€” not an owner โ€” of your PHI.
  • โœ“
    Access: You may access your complete health record at any time through the Patient Portal or FHIR R4 API.
  • โœ“
    Portability: You may export your records in FHIR R4 format or authorize any SMART-compatible app to access your data.
  • โœ“
    Consent Control: You may grant and revoke access to your records on a per-provider basis through the Consents section.
  • โœ“
    Correction: You may request amendment of inaccurate information in your records.
  • โœ—
    No Unauthorized Monetization: We will not sell or monetize your health data without your explicit prior authorization. If you participate in the optional MyRx-Royalty program, you receive 85% of any proceeds.
Section 06
Healthcare Provider Obligations

Healthcare providers using the Platform agree to:

  • โ†’
    Maintain valid licensure, NPI registration, and DEA registration (if applicable) throughout their use of the Platform.
  • โ†’
    Access patient records only when a legitimate treatment relationship exists and with appropriate patient consent.
  • โ†’
    Comply with all applicable state and federal laws governing the practice of medicine, telehealth, electronic prescribing (21 CFR Part 1311), and controlled substance prescribing.
  • โ†’
    Execute a Business Associate Agreement (BAA) with MyRxWallet before accessing patient PHI.
  • โ†’
    Not engage in information blocking as defined under 45 CFR Part 171.
  • โ†’
    Use Electronic Prescribing for Controlled Substances (EPCS) features only in compliance with DEA 21 CFR Part 1311 requirements, including identity proofing and logical access controls.
Section 07
MyRx Credential
Not a Financial Instrument

The MyRx Credential (sometimes referred to as "MyRx-ID" or "MRX") is a soulbound health identity credential. It is issued free of charge at enrollment. It is non-transferable, non-negotiable, and has no monetary value. It is not a security, investment, cryptocurrency, or financial instrument of any kind. It exists solely to authenticate your identity and control platform access.

By accepting a MyRx Credential, you acknowledge and agree that:

    The credential cannot be transferred, sold, or assigned to any other person.
  • โ†’
    The credential does not represent an ownership stake, profit interest, or investment in MyRxWallet.
  • โ†’
    The credential controls access to the MyRxWallet platform and records your consent history on the blockchain.
  • โ†’
    MyRxWallet may revoke your credential if you violate these Terms, upon account deletion, or if required by law.
Section 08
Prohibited Conduct

You agree not to:

    Provide false, fraudulent, or misleading information at registration or in the use of Platform services.
  • โœ—
    Access any other user's account or health records without explicit authorization.
  • โœ—
    Attempt to circumvent, reverse-engineer, or breach any security measure, encryption, or access control on the Platform.
  • โœ—
    Use the Platform or any patient data for purposes other than the patient's care, as authorized by applicable law and these Terms.
  • โœ—
    Upload or transmit malware, viruses, or any malicious code to the Platform.
  • โœ—
    Use automated tools, bots, or scrapers to access, collect, or index Platform content without written authorization.
  • โœ—
    Use the Platform to engage in any unlawful activity, including fraud, identity theft, or HIPAA violations.
  • โœ—
    Share, sell, or otherwise transfer your account credentials, MyRx Credential, or platform access to any third party.
  • โœ—
    Engage in information blocking as defined under 45 CFR Part 171.
  • โœ—
    Use the Platform in any manner that violates any applicable federal, state, or local law or regulation.
Section 09
Intellectual Property

The Platform, including all software, code, designs, trademarks, service marks, logos, algorithms, AI models, blockchain infrastructure, and content (collectively, "Platform IP"), is owned by MyRxWallet North America Corporation and protected by applicable intellectual property laws.

Your License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes.

Your Content: Your health data and PHI remain your property. You grant MyRxWallet a limited license to process your data solely as necessary to provide Platform services and as described in our Privacy Policy and HIPAA Notice.

Feedback: If you provide feedback or suggestions about the Platform, you grant us a royalty-free, perpetual license to use such feedback for any purpose without obligation to you.

Open Source Components: Certain components of the Platform (MyRx-Shield cybersecurity suite) are made available under the Apache 2.0 License. See the MyRx-Shield repository for applicable terms.

Section 10
Third-Party Services & Integrations

The Platform integrates with third-party services including but not limited to: health information exchanges (TEFCA/QHIN), payer APIs (CMS Blue Button, UHC, Aetna, Cigna, Humana, Anthem), pharmacy networks (NCPDP SCRIPT), drug databases (NLM, openFDA), and communication services (Twilio). Your use of these integrations is subject to those third parties' terms of service and privacy policies. MyRxWallet is not responsible for the acts or omissions of third-party service providers.

All data exchanged through third-party integrations is governed by our Privacy Policy and HIPAA Notice. We require Business Associate Agreements from all third parties who access PHI.

Disclaimers
Not Medical Advice

The Platform, including all AI-assisted tools, clinical reference features, drug interaction checkers, and health monitoring services, provides information only and does not constitute medical advice, diagnosis, or treatment. Always seek the advice of a qualified physician or other healthcare provider for any questions regarding a medical condition.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. MYRXWALLET DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT ALL ERRORS WILL BE CORRECTED.

We do not warrant the accuracy, completeness, or timeliness of any health information displayed on the Platform, including information imported from third-party sources (payers, EHR systems, pharmacies).

Section 12
Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYRXWALLET NORTH AMERICA CORPORATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF MYRXWALLET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MYRXWALLET'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT PAID BY YOU TO MYRXWALLET IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so the above limitations may not apply to you to the full extent permitted by law.

Section 13
Indemnification

You agree to indemnify, defend, and hold harmless MyRxWallet North America Corporation, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your use of the Platform; (c) your violation of any third-party rights, including HIPAA, intellectual property rights, or privacy rights; or (d) any false or misleading information you provide.

Section 14
Termination

Either party may terminate the agreement reflected in these Terms at any time:

    By You: Delete your account through the Patient Portal Settings or by contacting info@myrxwallet.io. We will process account deletion within 30 days, subject to applicable legal retention requirements.
  • โ†’
    By Us: We may suspend or terminate your access immediately, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Platform. We will provide reasonable notice except where immediate action is required for security or legal reasons.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 9, 11, 12, 13, 15, and 16) shall survive.

Your health data will be retained as required by HIPAA (minimum 6 years) and provided to you in FHIR R4 format upon request within 30 days of account termination.

Section 15
Dispute Resolution

Informal Resolution

Before initiating formal dispute proceedings, you agree to first contact us at info@myrxwallet.io to attempt informal resolution. We will respond within 10 business days. Most concerns can be resolved quickly and informally.

Binding Arbitration

For disputes that cannot be resolved informally, you and MyRxWallet agree to resolve all disputes through binding individual arbitration under the American Arbitration Association (AAA) Consumer Arbitration Rules, rather than in court, except as provided below. The arbitration shall be conducted in Wyoming, USA, or via video conference.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, both you and MyRxWallet waive any right to a jury trial.

Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. HIPAA-related disputes may be subject to HHS OCR jurisdiction, which is not waived by this arbitration clause.

Section 16
Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. To the extent any dispute proceeds in court, you consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.

To the extent federal law (including HIPAA, HITECH, the 21st Century Cures Act, or ONC regulations) conflicts with or preempts state law provisions in these Terms, federal law shall govern.

Section 17
Miscellaneous
  • โ†’
    Entire Agreement: These Terms, together with our Privacy Policy and HIPAA Notice of Privacy Practices, constitute the entire agreement between you and MyRxWallet regarding the Platform.
  • โ†’
    Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • โ†’
    Waiver: Failure by MyRxWallet to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • โ†’
    Assignment: You may not assign or transfer these Terms or any rights without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • โ†’
    Force Majeure: MyRxWallet shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
  • โ†’
    Forward-Looking Statements: Descriptions of planned or future Platform features are subject to change and do not constitute guarantees or representations.
